1. Introduction

2. Services

NextWebz provides professional web design and development services, including but not limited to:

• UI/UX Design
• Frontend Web Development (React, Next.js)
• Backend Development
• Design to Development (Figma to code conversion)
• Website maintenance and support

The specific scope, deliverables, and timeline of any project will be agreed upon in writing before work begins.

3. Payments and Billing

3.1 Pricing

All prices for our Services will be communicated and agreed upon before the commencement of any project. Prices are quoted in the currency specified in the project agreement.

3.2 Payment Terms

• Payment is required as outlined in the project agreement, which may include an upfront deposit and milestone-based payments
• All payments are processed securely through our third-party payment processors
• You agree to provide accurate and complete billing information
• Late payments may result in project delays or suspension of Services

3.3 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchase of our Services, unless otherwise stated in the project agreement.

4. Refund Policy

• Refund requests must be submitted within 7 days of the initial payment, provided that no deliverables have been submitted
• Once work has commenced and deliverables have been provided, payments for completed work are non-refundable
• For milestone-based projects, refunds apply only to milestones that have not yet been started
• If we are unable to deliver the agreed-upon Services due to reasons within our control, we will issue a full or partial refund at our discretion
• Refunds will be processed through the original payment method within 10-15 business days

5. Project Process

5.1 Project Agreement

Before starting any project, both parties will agree on the scope of work, deliverables, timeline, and pricing. This agreement may be in the form of a proposal, contract, or written communication.

5.2 Client Responsibilities

• Provide all necessary content, assets, and feedback in a timely manner
• Review and approve deliverables within the agreed-upon timeframes
• Communicate any changes to project requirements promptly

5.3 Revisions

The number of revision rounds will be specified in the project agreement. Additional revisions beyond the agreed scope may incur extra charges.

6. Intellectual Property

6.1 Ownership

Upon full payment, all custom designs, code, and deliverables created specifically for your project will be transferred to you. Until full payment is received, NextWebz retains ownership of all work product.

6.2 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials, unless otherwise agreed upon in writing.

6.3 Third-Party Assets

Any third-party assets (fonts, images, libraries, plugins) used in your project remain subject to their respective licenses. We will inform you of any third-party licenses that apply.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the project. This includes business strategies, technical details, and any information marked as confidential. This obligation survives the termination of our business relationship.

8. Limitation of Liability

To the maximum extent permitted by law, NextWebz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use of our Services.

Our total liability for any claim arising from our Services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Warranties and Disclaimers

We strive to deliver high-quality work, but our Services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our Services will meet all of your expectations or that the results will be error-free.

We do, however, offer a reasonable period for bug fixes and adjustments after project delivery as agreed in the project scope.

10. Termination

• Either party may terminate the project with written notice if the other party breaches these Terms
• If you terminate the project, payment is due for all work completed up to the termination date
• If we terminate due to non-payment or non-cooperation, we retain ownership of all undelivered work
• Termination does not affect any rights or obligations that accrued before the termination date

11. Indemnification

You agree to indemnify and hold harmless NextWebz and its team members from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, government actions, internet outages, or pandemics.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes will be submitted to the appropriate courts of Bangladesh.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to this page with an updated "Last updated" date. Your continued use of our website or Services after changes constitutes acceptance of the revised Terms.
